Constitution of Hong Kong Solar Energy Application Association

Chapter 1 General Provisions

Article 1 The name of this group is: Hong Kong Solar Energy Application Association, English name: Hong Kong Association of Solar Energy Industry.

Article 2 This group is composed of enterprises, institutions, social organizations and individuals engaged in the research, development, manufacturing, teaching and service of photovoltaic products, equipment, related auxiliary ingredients and photovoltaic product applications.

A national, industrial, non-profit social organization formed voluntarily by people.

Article 3 The purpose of this group: to abide by the Constitution, laws, regulations and national policies of the special zone, and to abide by social morality; to safeguard the legitimate rights and interests of members and the overall interests of the photovoltaic industry, and to strengthen the industry's self-discipline.

To ensure fair competition in the industry; to improve the construction of the standard system and to create a good development environment; to promote technical exchanges and cooperation, and to enhance the independent innovation capability of the industry; to play a role as a bridge and link between the government and enterprises, and to carry out various activities for enterprises and industries. and government services; promote international exchanges and cooperation, organize the industry to actively participate in international competition, and coordinate to deal with trade disputes.

Article 4 The group is subject to the business guidance and supervision and management of the Hong Kong Special Administrative Region registration authority.

Chapter 3 Membership

Article 7 The types of members of this group: unit members and individual members.

Article 8 Members who apply to join the group must meet the following conditions:

Article 9 The procedure for membership membership is:

Article 10 Members enjoy the following rights:

Article 11 Members perform the following obligations:

Article 12 Members who withdraw from the membership shall notify the group in writing and return the membership card. If a member does not pay the membership fee or does not participate in the activities of the group for one year, it will be regarded as an automatic withdrawal from the membership.

Article 13 If a member seriously violates the Articles of Association, he or she will be removed from the membership upon approval by the Council or the Standing Council.

  

Chapter IV Organizational Structure and Person-in-Charge Selection and Removal

Article 14 The highest authority of this group is the member representative assembly. The functions and powers of the member representative assembly are:

Article 15 The member congress can only be convened when more than 2/3 of the member representatives are present, and its resolutions can only take effect after more than half of the member representatives present.

Article 16 The member congress is held every three years. Due to special circumstances, if it is necessary to advance or postpone the general election, it must be approved by the council, reported to the business supervisory unit for review and approved by the association registration management authority.

Article 19 The council must be convened only when more than 2/3 of the directors are present, and its resolutions can take effect only after more than 2/3 of the directors present.

Article 20 The Council shall hold a meeting at least once a year. In special circumstances, it may be held in the form of communication.

Article 21 The group has established a standing council. The Standing Council is elected by the Council, and the first, third, fifth, sixth, seventh, eight, and ninth items of Article 18 shall be exercised when the Council is not in session.

Article 25 If the chairman, vice chairman and secretary general of the group exceed the maximum age for office, they must be approved by the board of directors and reported to the professional supervisory unit for review and the organization registration management authority.

Article 26 The term of office of the chairman, vice chairman and secretary general of the group is 3 years, and the term of office shall not exceed two consecutive terms. If the term of office needs to be extended due to special circumstances, it must be approved by more than 2/3 of the member representative assembly.

Member representatives voted through, reported to the business supervisory unit for review and approved by the association registration management authority before taking office.

Article 27 The chairman is the legal representative of the group, and the legal representative signs relevant important documents on behalf of the group. Due to special circumstances, the vice-chairman or the secretary-general may serve as the legal representative after being authorized by the chairman, approved by the council, reported to the business supervisory unit for review and approved by the association registration management authority. The legal representative of this group shall not concurrently serve as the legal representative of other groups.

Article 28 The chairman of the group exercises the following powers:

Chapter 5 Asset Management and Use Principles

Article 30 The source of funds for the group:

          _cc781905-5cde-3194 -bb3b-136bad5cf58d_   (three) government funding;

Article 31 The group collects membership dues in accordance with relevant state regulations, and the membership fee standard is determined by the member representative assembly.

Article 32 The funds of the group must be used for the development of the business scope and career stipulated in the articles of association, and shall not be distributed among the members.

Article 33 The group establishes a strict financial management system to ensure that the accounting information is legal, true, accurate and complete.

Article 34 The group is equipped with professionally qualified accountants. Accounting should not act as cashier. Accountants must conduct accounting and exercise accounting supervision. Accountant transfer work

Article 36 The group must accept the financial audit organized by the organization registration management authority and the professional supervisory unit before changing the term or changing the legal representative.

Article 37 The assets of this group shall not be occupied, privately divided or misappropriated by any unit or individual.

Article 38 The salaries, insurance and welfare benefits of the full-time staff of this group shall be implemented with reference to the relevant regulations of the state for institutions.

  

Chapter VI Amendment Procedures for Articles of Association

Article 39 Amendments to the articles of association of the group must be approved by the council and then reported to the member congress for deliberation.

Article 40 The revised articles of association must be reported to the business supervisory unit for review within 15 days after being approved by the member congress. After approval, it shall be reported to the association registration management authority for approval and become effective.

  

Chapter VII Termination Procedures and Property Disposal After Termination

Article 41 If the group completes its purpose or dissolves on its own, or needs to be cancelled due to division, merger, etc., the board of directors or the standing board of directors shall propose a termination motion.

Article 42 The motion to terminate the group must be voted and approved by the member representative assembly and reported to the business supervisory unit for review and approval.

Article 43 Before the termination of the group, a liquidation organization must be established under the guidance of the professional supervisory unit and relevant authorities to clear up the creditor's rights and debts, and deal with the aftermath. During the liquidation period, no liquidation will be carried out

other activities.

Article 44 The group will be terminated after the organization registration management agency has gone through the cancellation registration formalities.

Article 45 The remaining property after the termination of the group shall be used for the development of undertakings related to the purpose of the group in accordance with the relevant state regulations under the supervision of the professional supervisory unit and the organization registration and management authority.

Chapter VIII Supplementary Provisions

Article 46 This Articles of Association was voted and passed by the first member congress on November 14, 2018.

Article 47 The right to interpret this constitution belongs to the council of this group.

Article 48 The Articles of Association shall come into effect on the date of approval by the association registration authority.
